This is a legal agreement (the "Agreement") between you (either an individual or an entity) and Cool Focus International Limited ("CFi"). This Agreement forms part of a package (the "Software Package") that also includes limited licenses to use Java® applets, Flash™ applets and Windows®-compatible software (collectively the "Software"), and reference material in printed and/or electronic form. The individual items of Software provided as part of this Software Package are each subject to their own license agreements, copies of which are included in the Software Package. The term "website" within this Agreement refers to a directory location and its subdirectories on a single web server, these directories containing HTML documents (web pages) relating to a single individual or entity. The term "applet" refers to one or more Java '.class' files, or one or more Flash '.swf' files, together forming a complete program which is run by being linked to a web page. Your purchase of the Software Package will be taken as indication of your understanding and acceptance of the terms and conditions applying to this Software Package and its individual items of Software.
1. GRANT OF LICENSE
(a) CFi hereby grants you a personal, non-exclusive, non-transferable license to install and use one copy of the Software Package on one computer.
(b) This license also grants you the right to include, in object form only, on a single website, one or more Java and/or Flash applets commercially available from CFi at the time of your purchase of the Software Package. Subject to (d) below, CFi undertakes to provide you with the registration codes required to allow full use of these applets on the website nominated by you at the time of your purchase of the Software Package.
(c) The Software Package includes 50 licenses each of which allows the inclusion, in object form only, of a single Java or Flash applet commercially available from CFi on a single website whose constituent pages are created and/or maintained by you either on your own behalf or as part of a service provided by you to third parties. On request, and subject to (d) below, CFi will provide you with the registration codes required to allow full use of the applet you nominate on the website you nominate.
(d) CFi reserves the right to refuse to provide registration codes that would allow the full use of an applet on any website that does not meet the criteria set out in the license agreement relating to the use of the applet.
(e) You may not modify, translate, decompile, disassemble, or reverse engineer any part of the Software Package, and you may not create derivative works of the Software Package either in part or as a whole.
(f) Title, ownership right, and intellectual property right to the Software Package shall remain the property of CFi. You agree to abide by the copyright law and all other applicable laws of the relevant jurisdiction including, but not limited to, export control laws. You are not granted any right, title or interest in any part of the Software Package except the right to use it in accordance with this Agreement.
2. RESALE
The Software and licenses provided to you under this agreement may not be lent, sold or otherwise transferred by you to any third party.
3. SUPPORT
Support via email will be provided to you as licensee of the Software Package. This offer of support is non-transferable.
4. DISTRIBUTION
You may not distribute any part of the Software Package to any third party, other than where such distribution is required in order to use the Software in object form by its inclusion in a web page or other object containing HTML. This paragraph supercedes and replaces any paragraph within the agreements relating to the Software that grants permission to distribute the Software.
5. GOVERNING LAW
This agreement shall be governed by the laws of the United Kingdom.
6. TERMS OF TRADE
CFi reserves the right to alter its terms of business, pricing and delivery without prior notification.
